Terms of Service

1. Acceptance of Terms

By signing up for an account, connecting a QuickBooks company file, or using any services provided by Vetrix ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a business entity (such as a construction subcontractor corporation), you represent that you have the authority to bind that entity to these Terms.

2. Account Registration & Organization Boundaries

You must register for an account using a valid email address via our Supabase Authentication flow.

  • You are responsible for keeping your credentials secure.
  • Organizations on Vetrix are strictly isolated using PostgreSQL Row-Level Security (RLS). You agree not to attempt to access or modify data belonging to other organizations or tenants.
  • You agree to notify us immediately of any unauthorized access to or use of your organization workspace.

3. Description of Services & QuickBooks Online Scope

Vetrix provides a multi-tenant back-office system to extract invoice data, suggest job-cost mappings, and sync approved invoices to QuickBooks Online.

Review Responsibility: Vetrix utilizes private artificial intelligence models to extract invoice fields and suggest mappings. While we target high confidence (≥92%), you acknowledge that all extractions, amounts, line items, and ledger accounts must be verified by a human reviewer before syncing. Vetrix is not responsible for incorrect entries, audit penalties, or accounting discrepancies posted to your QuickBooks ledger.

4. Subscriptions, Stripe Billing, & Plan Upgrades

Subscriptions to Vetrix are billed in advance on a monthly recurring basis through Stripe:

  • Billing & Plan Gates: Features are unlocked based on your active subscription plan. Stripe webhooks communicate directly with Vetrix to update your organization profile access immediately.
  • Cancellation: You may cancel or downgrade your subscription at any time through the billing dashboard. Access will continue until the end of your active billing period.
  • Refunds: Payments are non-refundable unless required by local regulations or explicitly stated during promotions.

5. Customer Data & Content License

You retain all ownership, intellectual property rights, and title to the documents and data you upload, email, or import to Vetrix (including PDFs, names, rates, and transaction files).

By uploading customer data, you grant Vetrix a limited, non-exclusive, worldwide license to host, parse, copy, transmit, and run private machine-learning extractions on your data solely to provide the Services to your organization. We do not use your proprietary invoice data or QuickBooks records to train public AI models.

6. Warranties & Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Vetrix does not warrant that the AI extraction is 100% correct, error-free, or that connection to QuickBooks Online will be uninterrupted. We depend heavily on the availability and performance of external APIs (such as Intuit QuickBooks Online and Postmark).

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VETRIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, AUDIT PENALTIES, TAX FINES, OR FINANCIAL DATA ARISEN FROM USING THE SERVICES OR POSTING BILLS TO QUICKBOOKS ONLINE.

8. Termination & Purging of Workspace

We reserve the right to suspend or terminate your workspace access immediately if we detect a breach of these Terms, non-payment, or attempts to circumvent tenancy boundaries.

Organization owners can download a complete machine-readable export of their workspace (transaction records, line items, vendors, jobs, and the agent audit log) at any time from Settings. If an organization is deleted, its data — including stored PDFs — is retained for a 30-day recovery window and then permanently purged from our active datastores.

For active organizations we apply a retention schedule to operational records: the agent decision audit log is retained for seven years (aligned with common financial record-keeping requirements); in-app notification history for 180 days; and internal delivery/processing logs for 30–90 days. Your business data itself — invoices, vendors, jobs, and documents — is retained for as long as your organization exists.
